Passport to a Global Equity Adventure with Denise Glagau & Rose Hoffman

As companies expand internationally, administering equity compensation becomes increasingly complex - presenting a host of legal, tax, payroll, and administrative challenges that can significantly affect plan design and operation. This session will offer a practical "how-to" guide for companies looking to take their plans global as we explore the common issues that arise globally and provide strategies for navigating them effectively. This session will provide actionable guidance and practical insights to help you build and manage a compliant, scalable global program.

  • Dealing with the 423 “equal rights and privileges” requirement in the context of different country requirements
  • Managing different “fair market value” definitions around the world
  • Addressing various tax issues that arise outside the U.S. (including withholding at ESPP purchase outside the US)
  • Handling currency conversion issues (including special challenges for ESPP payroll deductions)
  • Addressing different labor laws (termination treatment, leave of absence)
  • Applying ESPP compensation definition across various jurisdictions with different components of compensation.

Tax and Cost Basis: Clearer Participant Communications and IRIS Readiness with Julie Morton

Tax and cost basis are often confusing for equity compensation participants. This session covers common cost basis challenges for different award types, explains why reported and actual cost basis may differ, and offers practical ways to improve participant education during tax season.

Attendees will also gain an overview of the IRS transition from FIRE to IRIS for Forms 3921 and 3922 reporting and learn key considerations for issuer readiness. Leave with actionable strategies to enhance participant communications, reduce confusion, and prepare for upcoming reporting changes.

AI In Action with Matt McKittrick, Alex Price, & Andrew Gorder

Join us for a hands-on session focused on turning AI ideas into action. We’ll kick things off with a discussion on AI Enablement, including a live demonstration of Baker Tilly's AI Enablement interview. 

Then, we’ll shift into live workshopping. Participants will break into smaller groups based on topics, projects, or challenges and work together to make tangible progress—whether that means sharpening an idea, working through a blocker, prototyping an approach, or figuring out the next step.

Bring your laptop and come ready to work! If you have an AI project, idea, use case, or challenge you’d like to move forward, bring that too. We’ll organize groups around shared topics and interests so you can collaborate with others and leave the session with real momentum.

Speaker Bios:

Denise Glagau, is the Managing Partner of Baker McKenzie's California offices in San Francisco, Palo Alto and Los Angeles and a member of the North America Employment and Compensation practice. Denise advises public and private multinational companies on the tax and legal issues related to offering employee share plans and other incentive compensation programs in their home countries and on a global basis. Denise is a member of the National Association of Stock Plan Professionals (NASPP) and the Global Equity Organization (GEO) and a ranked practitioner by Chambers USA 2026 in the area of Employee Benefits & Executive Compensation. She has authored several articles and frequently speaks on topics of interest for legal and other professionals dealing with share plan issues.

Rose Hoffman, has been in the Equity Compensation field for over 35 years. Rose has worked on both the issuer and vendor side of various companies in Silicon Valley. Rose is currently Director, Equity Plans at Guardant Health, Inc. headquartered in Palo Alto, California. She currently manages Stock Options, RSUs, PSUs and an ESPP Program to over 3,000 global employees and 16 countries. Prior to Guardant Health, Inc., she was Director of Global Stock Plan Services at PayPal. Rose received her CEP in June 2001. She is a member of the CEPI Curriculum Committee, and a Board Member on the NASPP Silicon Valley Chapter. 

Julie Morton, is a Senior Manager with Charles Schwab Stock Plan Services, supporting some of the firm's most sophisticated equity compensation programs. With more than 20 years of experience, she advises companies on stock plan design, administration, taxation, financial reporting, and participant engagement. Having served in both issuer and provider roles, Julie brings a practical, real-world perspective to helping organizations navigate complex equity compensation challenges. An active industry leader, she serves on the NASPP Denver Chapter Board and the CEPI Curriculum Committee, helping advance education, industry best practices, and professional standards across the equity compensation industry.

Matt McKittrick, since 2005, Matt has specialized in solving complex challenges related to stock-based compensation, leading teams that assess existing processes and identify ways to streamline operations, improve financial reporting, and enhance participant outcomes for companies ranging from the Fortune 10 to pre-IPO. His work focuses on delivering equity process optimization services, AI enablement consulting and solutions, optimized RSU sell-to-cover tools, equity platform vendor conversion services, financial reporting services, equity-to-payroll reconciliation solutions, and bespoke record-keeping solutions.

Alex Price, is a Consulting Manager in Baker Tilly's EBST group, he combines software development and data engineering to automate and streamline financial reporting, accounting, and data reconciliation at scale. He also applies AI to surface data anomalies, increase delivery speed, and improve the timeliness of data availability.

Andrew Gorder, has more than 35 years of experience in finance and accounting, with expertise spanning business and relationship management, sales leadership, enterprise-wide training, organizational strategy, product development, and technology direction. Andrew joined Baker Tilly in 2000 and is a member of the firm's Equity & Technology Services and Technology Senior Leadership Team. In this role, he helps shape strategic initiatives and drives innovation in technology-enabled equity compensation solutions. Before joining Baker Tilly, Andrew worked in the stock plan services division of a multinational financial services company. Throughout his career there, he held leadership positions across several business units, including brokerage, retirement services, independent advisor services, and the firm's trust company, giving him broad operational and financial services experience.
