Presentation Description


In our presentation, we will explore the latest tax and regulatory changes impacting your share plans worldwide. We will discuss the new tax rules for options and shares in Canada, new reporting obligations in Israel and South Korea, new exchange control requirements in China and Vietnam, and more! As to trends, we will present a menu of trends to discuss, such as fractional share issuance/withholding, treatment of grantees upon death, changes to taxable amount determination after T+1, treatment of awards during leave of absence, and more.

Barbara Klementz is the chair of Baker McKenzie’s North American Compensation Practice. She has practiced in the area of global equity and executive compensation for over 20 years. Barbara focuses her practice on global equity compensation programs, executive compensation and employee benefits. She regularly advises multinational companies on implementing their equity compensation and other incentive programs worldwide – particularly as it relates to tax and securities law matters and exchange control regulations. Barbara also frequently advises on the treatment of such programs in corporate transactions, including mergers and acquisitions, spin-offs and divestitures, as well as on the tax treatment of cross-border employees participating in such programs.


Kela Shang

Kela Shang is a partner in the Firm’s Palo Alto office and a member of the Global Equity Services Practice Group. He regularly assists public and private companies in offering their employee equity plans around the world. Mr. Shang is currently a member of the National Association of Stock Plan Professionals and the Global Equity Organization. Kela advises multinational companies on the implementation and ongoing compliance of their equity compensation plans, dealing with issues such as securities law compliance, local and cross-border tax obligations, data privacy, exchange control and labor law compliance. He also advises companies on the effects of mergers, reorganizations, spin-offs and other corporate adjustments on their equity programs.
