Tips to Ensure Your Equity Plan Administration Processes Can Withstand Complexity

Summary:

In the area of equity plan design, administration and financial reporting, issuers and service providers alike continue to work toward systematic plan reporting processes that attempt to meet both general and company-specific reporting requirements with a minimal amount of out-of-system manipulation. While basic reporting needs are often satisfied with canned, systematic report outputs, we are all aware of the seemingly all-too-often occurrences where basic reports or standardized processes fail to meet the specific requirements caused by certain awards, transactions, or other circumstances.

In this session we will discuss common complexities that can potentially disrupt standardized processes and share characteristics of the more optimized plan reporting processes we have seen. We’ll discuss issues that can stem from the design and structure of equity awards, transactional items that can arise, and nuances relating to the reporting and disclosure requirements themselves.

Attendees of this interactive session will learn about issues to be aware of and how to overcome to achieve desired results across a range of the following topics:

  • Optimized Award Lapse Procedures
  • Vesting Adjustments and Retirement Eligibility
  • Tax Rate Verification
  • Employee Mobility
  • Performance Award Mechanics
  • Data Adjustments and Modifications
  • Period-close Procedures

Speakers:

  • Geoff Hammel, Infinite Equity
  • Scott Moran, Merrill Lynch
