Join us for an afternoon event in Boston with our local NASPP Chapter offering both "Boos" and "Booze"… First AON and Fidelity will guide us through the historical governmental decisions evolving the rules of stock compensation through the years to understand what we administer today. This will be followed by ISS sharing their perspective on the impacts of different administrations and what the looming election could mean for our future. After we will network and talk about all we learned with peers at The Merchant. Costumes are welcomed (and may even be provided), so do not miss this ghostly-good time.

The Eras Tour: Spooky Edition

Trick, OR TREAT!? From FAS123(Really Scary) to ASCreepy 718, 409Ahhhhhhhhhhh! to 162('mmmmm Brains!!!), take a walk down a super spooky memory lane of equity compensation with our Halloween aficionados, Amanda Benincasa from AON and Joseph N. Magner from Fidelity, potentially (definitely) dressed up, eating way too much candy, and singing TSwift songs. In all seriousness, we will be talking about how equity compensation has evolved from a practical standpoint, as well as a regulatory perspective. “Look what you made me do,” FASB!


Presidential Elections and Equity Stock Proposals: Historical Trends and Future Frequency

As an election year, Jun Frank and Liam Hardy of ISS Corporate will walk us through the presidential election and potential regulatory developments on the minds of issuers. This topic will explore trends with presidential election years, average share price, frequency of administration of equity plans, and regulatory changes. Looking back at historical trends, such as with the 2017 Tax Cuts & Jobs Act and Section 162(m), we can analyze impacts in specific industries, the concentration of equity plan types, the prevalence of equity plan features, and other trends of SEC regulatory developments during federal election years because of the change in administrations. Overall, issuers would leave with equity plan best practices, regardless of election outcome, and paths for anticipated regulatory changes.

SPEAKERS:

Amanda Benincasa Arena, CEP, MBA - Partner - Aon Equity Services

Amanda Benincasa Arena is a Partner and a leader within Aon Equity Services, the equity valuation and accounting group for Aon that assists with all things related to equity compensation. 

With over a decade of experience in the equity and governance fields, her background consists of technical accounting for equity compensation and consulting on every part of the life cycle for an equity award. Her specialty has become complex transactions including spin-offs, IPOs, SPACs, Employee Stock Purchase Plans, design of tax-efficient equity awards from a corporate and employee standpoint, and SEC reporting for all of the above, including Forms 3/4/5, 10-Q/K, and proxy statements. She is a frequent industry speaker and thought leader. She serves on the Board of Directors of the Global Equity Organization. 

Amanda holds a Master of Business Administration and a Bachelor of Arts in Accounting. She is the Executive Sponsor of the Parents with New Additions Business Resource Group and a Volunteer Crisis Counselor with the Crisis Text Line. She is based in the Philadelphia region.


Joseph N. Magner - Vice President, Equity Compensation Managing Director - Fidelity Investments

Joe Magner has over 15 years of experience in financial services and wealth management industries as a relationship manager, consultant, and attorney. He enjoys engaging deeply with his clients and helping them solve their business problems with strategic and creative solutions. He is married with two young children and a goldendoodle. He and his family reside in a small town on the South Shore of Massachusetts. In his free time, he enjoys golf, racquet sports, cycling, skiing, reading, and cooking/grilling for family and friends. Joe obtained my Bachelor of Science in Economics-Finance from Bentley University, studying abroad in London, England his junior year at Regents College, and a Juris Doctorate from Suffolk University Law School. He also has obtained his Equity Compensation Associate (ECA) designation.


Jun Frank - Managing Director, Global Head of Compensation & Governance Advisory

Jun Frank is a Managing Director and Global Head of Compensation & Governance Advisory at ISS-Corporate, leading teams of advisors in the U.S., Europe, and Asia. Prior to his current role, he was responsible for compensation and governance advisory practices in the West Coast. Jun brings with him unique experience, having served in research leadership roles at two of the world’s largest proxy advisers, ISS and Glass Lewis. He holds a B.A. from the University of California at Berkeley and an M.B.A. with concentrations in corporate finance and investments from the University of Notre Dame.


Liam Hardy - Associate Vice President, Compensation & Governance Advisory

Liam Hardy is an Associate Vice President for ISS-Corporate and is based in the Washington, D.C. metropolitan area. He assists public issuers in the U.S. and Latin America with achieving their executive compensation and corporate governance objectives. Prior to joining ISS-Corporate, he held business development roles at institutions in the media and asset management industries. He earned a Bachelor of Arts degree from Georgetown University and Master’s in International Business from The Fletcher School at Tufts University.
