After 7 years of deliberation the SEC recently approved new PvP rules. These rules will create greater transparency, more deliberation and more scrutiny with regards to executive pay than ever before.

The rules contain a new definition of pay called Compensation Actually Paid with several adjustments from the Summary Compensation Table, and the most significant adjustment is with respect to employee equity.

Among other things, the new rules require grant date fair values in the Summary Compensation Table to be replaced with incremental increases/(or decreases) in equity value during a fiscal year until vesting.
