A Busy Two Months for the SEC: Proposed Rules on Pay for Performance, Spring-Loading, and Rule 10b5-1 Plans

In December 2021 and January 2022, the SEC issued a series of highly consequential proposed rules in the executive and equity compensation area.

  • Pay for Performance Disclosure: reopened the comment period on proposed rules under Dodd-Frank Act Section 953(a) requiring disclosure of the relationship between executive compensation actually paid by a company and the company\'s financial performance
  • Spring-Loading of Stock Awards: proposed amendments to the disclosure requirements for executive and director compensation regarding the timing of stock compensation awards made in close proximity in time to the company’s disclosure of material nonpublic information.
  • Rule 10b5-1 Trading Arrangements: proposed amendments would add new conditions to the availability of the affirmative defense under Exchange Act Rule 10b5-1, require companies to disclose the adoption and termination of Rule 10b5‑1 trading arrangements by insiders, and amendments to Forms 4 and 5.
